Service-Specific Terms & Disclaimers

These Service-Specific Terms & Disclaimers ("Service Terms") are incorporated by reference into and form part of the Jentic Terms of Service. These terms apply specifically to your use of AI agents and related services provided through the Jentic platform.

1. Self-Hosted vs. Jentic-Hosted Agents

The Jentic platform allows for the creation and management of agents that may be run on your own infrastructure ("Self-Hosted") or on Jentic's infrastructure as part of the Hosted Service ("Jentic-Hosted"). You acknowledge and agree to the following:

(a) Self-Hosted Agents: When you run an agent on your own infrastructure using Jentic's open source software components, you are solely responsible for the security, operation, and consequences of that agent's actions. The open source software is provided under the Apache License 2.0 as specified in our public repositories. Jentic has no involvement in, control over, or liability for any agent you run on your own systems. The Hosted Service's proprietary components, optimisations, and infrastructure remain Jentic's exclusive property and are not available under open source licences.

(b) Jentic-Hosted Agents: When using our Hosted Service infrastructure, you remain solely responsible for the agent configurations you create, the workflows you design, the third-party credentials you provide, and all actions those agents take. While Jentic provides the underlying platform infrastructure, we do not control, monitor, or approve your specific agent instructions or third-party integrations. Your use of Jentic-Hosted agents is subject to the liability limitations and disclaimers set forth in our main Terms of Service.

(c) Platform vs. Agent Distinction: Jentic operates as a platform provider that enables agent creation and management. We are not responsible for the specific implementation, configuration, or outcomes of individual agents created by users. Each user's agents operate independently based on that user's instructions and integrations.

2. Authorisation for Agentic Actions & Third-Party Interactions

The Hosted Service enables AI agents to interact with third-party applications, services, and APIs ("Third-Party Services") based on your instructions and configurations. By creating and operating an agent through the Hosted Service, you explicitly acknowledge and agree to the following:

(a) Agent Authorisation and User Responsibility: You understand that by configuring and running an agent, you are authorising it to perform actions based on your instructions and connected services. You are solely responsible for:

  • All instructions, workflows, and configurations you provide to agents;
  • All actions taken by agents operating under your account;
  • Ensuring your agent configurations comply with applicable laws and regulations;
  • Monitoring and controlling your agents' activities and outputs.

(b) Third-Party Credentials and Security: Agent functionality may require you to provide API keys, passwords, or other authentication credentials for Third-Party Services. You acknowledge that:

  • You provide such credentials entirely at your own risk;
  • Jentic implements commercially reasonable security measures but cannot guarantee absolute security of credentials or data;
  • You are responsible for managing, rotating, and securing your credentials according to best practices;
  • Jentic's liability for credential security is limited as set forth in our main Terms of Service.

(c) Data Transmission and Third-Party Processing: You acknowledge that agents may transmit your data (including inputs and content) to Third-Party Services and receive data in return. You understand that:

  • Jentic facilitates these connections but does not control Third-Party Services' data handling practices;
  • You are responsible for ensuring compliance with data protection laws for any personal data processed through agents;
  • Third-Party Services' privacy and security practices are governed by their own policies, not Jentic's;
  • Jentic's data processing obligations are limited to our role as platform provider as detailed in our Privacy Policy.

(d) Third-Party Service Terms: You acknowledge that your agents' interactions with Third-Party Services are subject to those services' terms and policies. While violation of Third-Party Service terms through agent actions may constitute grounds for account restrictions under our Terms of Service, Jentic does not assume responsibility for monitoring or enforcing compliance with all Third-Party Service requirements.

(e) Liability Limitations: Subject to the liability limitations and disclaimers in our main Terms of Service, and to the fullest extent permitted by applicable law, Jentic's liability for agent-related issues is limited. This includes, but is not limited to, damages resulting from agent actions, credential compromises, data transmission issues, or Third-Party Service interactions. The indemnification provisions in our main Terms of Service apply to claims arising from your use of agent functionality.

3. Agent Error, Malfunction, and Performance Disclaimers

AI agents are complex systems that may exhibit unpredictable behaviour. The following is a non-exhaustive list of potential limitations and risks that you acknowledge and agree to:

(a) Agent Decision-Making Errors: AI agents may:

  • Misinterpret instructions or context;
  • Make decisions based on incomplete or inaccurate information;
  • Generate outputs that contain errors, biases, or hallucinations;
  • Fail to recognise when tasks are beyond their capabilities;
  • Take actions that differ from your intended outcomes.

(b) Autonomous Agent Risks: When operating in autonomous or semi-autonomous modes, agents may:

  • Continue executing flawed workflows without human intervention;
  • Make cascading errors that compound over time;
  • Interact with multiple systems in unintended ways;
  • Generate significant consequences from small initial errors.

(c) Multi-Agent Interactions: When multiple agents operate simultaneously or interact with each other, additional risks include:

  • Conflicts between different agents' actions or objectives;
  • Coordination failures leading to duplicated or contradictory actions;
  • Resource conflicts or competition between agents;
  • Amplification of individual agent errors through system interactions.

(d) Performance Variability: Agent performance may vary due to:

  • Changes in underlying AI model capabilities or behaviour;
  • Third-party service availability, performance, or policy changes;
  • Network connectivity, latency, or infrastructure issues;
  • Resource limitations or capacity constraints.

You are solely responsible for implementing appropriate oversight, monitoring, and control mechanisms for your agents, and for accepting all risks associated with agent operations.

4. Regulatory Compliance and Agent Deployment Restrictions

Your deployment and use of AI agents through the Hosted Service must comply with all applicable laws and regulations. Your responsibilities include, but are not limited to, the following:

(a) EU AI Act Compliance: When deploying agents that may constitute AI systems under the EU AI Act, you are responsible for:

  • Determining the risk classification of your AI agent use cases;
  • Implementing required safeguards for high-risk AI applications;
  • Ensuring appropriate human oversight and intervention capabilities;
  • Maintaining necessary documentation and audit trails;
  • Complying with transparency and disclosure requirements.

(b) Export Control and Sanctions Compliance:You may not use agents for purposes that violate applicable export control laws or sanctions, including but not limited to:

  • Developing or operating surveillance systems for restricted jurisdictions;
  • Circumventing trade restrictions or sanctions through automated actions;
  • Transferring controlled technology or information to prohibited parties;
  • Engaging in dual-use applications without proper authorisation.

(c) Data Protection Compliance: When agents process personal data, you must:

  • Ensure lawful basis for all personal data processing;
  • Implement appropriate technical and organisational measures;
  • Respect data subject rights and provide necessary disclosures;
  • Comply with cross-border data transfer requirements;
  • Conduct Data Protection Impact Assessments where required.

(d) Financial Services Restrictions: You may not use agents to:

  • Provide unlicensed financial advice or services;
  • Make automated credit, lending, or insurance decisions without proper oversight;
  • Engage in unauthorised trading or investment activities;
  • Process financial transactions without appropriate regulatory compliance.

(e) Prohibited Agent Applications: You may not deploy agents for:

  • Safety-critical applications where failure could result in physical harm;
  • Medical diagnosis or treatment recommendations without licensed professional oversight;
  • Legal advice or representation without qualified attorney supervision;
  • Any application prohibited under our Acceptable Use Policy or main Terms of Service.

5. Intellectual Property and Content Generation Risks

Agent-generated content and actions may create intellectual property risks. You acknowledge and agree to the following non-exhaustive list of risks:

(a) Agent-Generated IP Infringement: AI agents may:

  • Generate content that inadvertently infringes copyrights, trademarks, or other intellectual property rights;
  • Access, copy, or reproduce protected content without authorisation;
  • Create derivative works based on protected materials;
  • Violate publicity rights or other personality rights.

(b) Content Authenticity and Attribution:Agent-generated content may:

  • Lack clear attribution or identification as AI-generated;
  • Resemble existing works, persons, or entities in ways that could cause confusion;
  • Require specific labelling or disclosure under applicable laws;
  • Need human review and validation before publication or use.

(c) Third-Party Content Access: When agents access or interact with third-party content, platforms, or databases, you are responsible for:

  • Ensuring compliance with applicable terms of service and usage restrictions;
  • Respecting copyright, trademark, and other intellectual property rights;
  • Obtaining necessary permissions for content use or reproduction;
  • Implementing appropriate content filtering and review processes.

(d) User Responsibility for IP Compliance: You are solely responsible for:

  • Reviewing all agent-generated content for potential IP issues before use;
  • Ensuring your agent configurations and instructions comply with IP laws;
  • Obtaining necessary licences or permissions for agent activities;
  • Responding to any IP infringement claims related to your agent use.

Jentic does not monitor agent-generated content for IP compliance and disclaims responsibility for any IP infringement resulting from your agent operations.

6. Emergency Intervention and Platform Management Rights

To maintain platform integrity and comply with legal obligations, Jentic reserves certain intervention rights regarding agent operations, including but not limited to the following:

(a) Emergency Termination Rights: Jentic may immediately suspend, terminate, or restrict agent operations in cases of:

  • Suspected security breaches or malicious activity;
  • Violation of our Terms of Service or Acceptable Use Policy;
  • Legal requirements or regulatory compliance needs;
  • Technical issues that threaten platform stability or other users;
  • Third-party complaints or takedown requests.

(b) Platform Maintenance and Updates: Jentic may:

  • Implement updates, patches, or changes to the underlying platform that may affect agent functionality;
  • Perform maintenance that temporarily interrupts agent operations;
  • Modify or restrict certain features to ensure compliance with evolving regulations;
  • Update security measures that may require changes to agent configurations.

(c) Resource Management: Jentic may implement limits or restrictions on:

  • Agent computational resource usage;
  • Frequency or volume of third-party service interactions;
  • Number of concurrent agents per account;
  • Data storage or transfer associated with agent operations.

(d) Compliance Monitoring: While Jentic does not routinely monitor individual agent activities, we reserve the right to:

  • Investigate suspected violations or complaints;
  • Access agent logs or configurations as necessary for platform security;
  • Cooperate with law enforcement or regulatory investigations;
  • Implement automated systems to detect prohibited uses.

(e) No Liability for Intervention: Jentic shall not be liable for any losses, damages, or business interruption resulting from legitimate exercise of these platform management rights, subject to the liability limitations in our main Terms of Service.

7. Integration with Other Policies

These Service-Specific Terms should be read in conjunction with our:

In case of any conflict between these Service-Specific Terms and other policies:

  • Our main Terms of Service take precedence for general legal frameworks and liability limitations
  • Our Acceptable Use Policy takes precedence for specific prohibited uses and enforcement procedures
  • These Service-Specific Terms provide additional agent-specific guidance and disclaimers that supplement, rather than replace, other policy provisions
