1. Introduction and Your Agreement to These Terms

1.1. The Agreement

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and JENTIC TECHNOLOGY LIMITED, a company incorporated in the Republic of Ireland ("Jentic," "we," "us," or "our"). These Terms govern your access to and use of the Jentic hosted service, including our platform, website, and associated infrastructure (collectively, the "Hosted Service").

1.2. Scope and Relation to Open Source

The core Jentic software framework is made available under the terms of the Apache License 2.0 ("Open Source Licence"). However, the Hosted Service includes proprietary components, configurations, optimisations, infrastructure, and enhancements ("Proprietary Elements") that are not part of the open source release and remain the exclusive property of JENTIC TECHNOLOGY LIMITED. These Terms do not limit your rights under the Open Source Licence for software components we release under it. However, you acknowledge that the Hosted Service's full functionality, performance, and features cannot be replicated solely using the open source components. These Terms apply specifically to your use of our Hosted Service, including all Proprietary Elements.

1.3. Acceptance

By accessing, registering for, or using the Hosted Service, you confirm that you have read, understood, and agree to be legally bound by:

These Terms of Service;
Our Acceptable Use Policy; and
Our Privacy Policy.

Together, these documents form the entire "Agreement" between you and Jentic. If you do not agree, you must not use the Hosted Service.

1.4. Changes to the Agreement

We reserve the right to modify this Agreement at any time by posting an updated version on our website. We will update the "Last Updated" date at the top of these Terms. Your continued use of the Hosted Service after any such change constitutes your acceptance of the new Terms.

1.5. Use on Behalf of an Entity

If you are using the Hosted Service on behalf of a company or other legal entity ("Entity"), you represent and warrant that you have the authority to bind that Entity to this Agreement, in which case "you" and "your" will refer to that Entity.

2. Eligibility & Account Registration

2.1. Age Requirement

To access or use our Hosted Service, you must be at least 18 years of age or older. By creating an account or using the Hosted Service, you represent and warrant that you meet this age requirement. The Hosted Service is not intended for, and must not be used by, individuals under the age of 18.

2.2. Account Creation and Responsibility

To access the Hosted Service, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information.
Maintain and promptly update your account information.

You are solely responsible for maintaining the confidentiality of your account credentials (e.g., password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to comply with these obligations.

2.3. Export Controls and Sanctions Compliance

The Hosted Service may not be used in violation of applicable export control laws, sanctions, or trade restrictions. You represent and warrant that:

(a) You are not located in, ordinarily resident in, or organised under the laws of any country subject to comprehensive sanctions by the EU, Ireland, or United States;
(b) You are not listed on any government restricted party lists;
(c) You will comply with all applicable export control laws and regulations in your use of the Hosted Service.

Prohibited Uses: You agree not to use the Hosted Service for any purpose prohibited by applicable export control laws, including but not limited to development of weapons systems, prohibited surveillance applications, or circumvention of sanctions. Jentic reserves the right to suspend or terminate access to comply with export control requirements without prior notice.

3. The Hosted Service & Disclaimers

3.1. Service Description

The Hosted Service provides you with access to Jentic's platform, including our infrastructure, software, and tools, designed to enable you to create, manage, and execute autonomous and semi-autonomous AI agents and workflows.

3.2. Disclaimers and Acknowledgement of Risk

You acknowledge and agree that the Hosted Service utilises complex and rapidly evolving technologies, including artificial intelligence. Due to the inherent nature of this technology, the Hosted Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind.

By using the Hosted Service, you understand and explicitly agree that:

You Are Responsible for Agent Actions: The Hosted Service enables the creation of autonomous agents that may perform actions on your behalf. Jentic has no control over the specific actions or workflows you create. You are solely responsible for supervising the activities of any agents you create, and you assume all risks associated with delegating tasks to autonomous systems.

Output May Be Inaccurate: Any output, results, or actions performed by agents may be incomplete, inaccurate, or cause unintended consequences. You must not rely on the Hosted Service for any critical or high-stakes functions.

No Guarantee of Service: The Hosted Service may contain bugs, errors, and other technological problems that could cause system failures, interruptions, and data loss. We may modify, suspend, or discontinue the Hosted Service at any time without prior notice.

Not a Backup Service: The Hosted Service is not a data storage or backup service. You are responsible for maintaining your own backups of your data and Content.

AI-Specific Risks: You further acknowledge and agree that:

AI Hallucinations: AI-generated content may contain fabricated information, false claims, or "hallucinations" that appear factual but are entirely generated. You must independently verify all AI outputs.
Bias and Discrimination: AI models may exhibit biases related to race, gender, religion, nationality, or other protected characteristics. You are responsible for reviewing outputs for potential bias.
No Professional Advice: AI-generated content does not constitute professional advice of any kind, including but not limited to legal, medical, financial, investment, tax, or therapeutic advice.
Safety-Critical Prohibition: The Hosted Service must not be used for safety-critical applications including but not limited to medical diagnosis, autonomous vehicle control, emergency response systems, or any application where failure could result in death or serious injury.
Regulatory Compliance: You are solely responsible for ensuring your use of AI agents complies with all applicable laws, regulations, and industry standards in your jurisdiction.

3.3. Reliance on Third-Party Models

The Hosted Service integrates with third-party AI model providers ("Third-Party Models") solely to provide functionality to users. You acknowledge and agree that:

Third-Party Model Disclaimer: Jentic does not control, endorse, or warrant Third-Party Models' performance, outputs, availability, or compliance with any standards.
No Jentic Liability: Jentic shall not be liable for any Third-Party Model issues, including service interruptions, output quality, content moderation decisions, or policy changes that affect your access.
Your sole remedy for Third-Party Model issues is to discontinue using affected features or terminate your account.

3.4. Service-Specific Terms

Certain features of the Hosted Service are subject to additional terms and disclaimers as set forth in our Service-Specific Terms & Disclaimers, which are incorporated by reference into this Agreement.

4. Licence and Scope of Use

4.1. Licence to the Hosted Service

Subject to your complete and ongoing compliance with this Agreement, JENTIC TECHNOLOGY LIMITED grants you a limited, personal, non-exclusive, non-transferable, and revocable licence to access and use the Hosted Service.

4.2. Scope of Use and Restrictions

This licence is granted solely for your own personal use or for your internal business purposes. You are expressly prohibited from:

(a) Sublicensing, reselling, or otherwise commercialising the Hosted Service or providing it to any third party;
(b) Using the Hosted Service to develop a competing product or service;
(c) Conducting competitive analysis or using the Hosted Service for any other purpose that is to Jentic's commercial disadvantage;
(d) Attempting to replicate, reverse-engineer, or extract the functionality, performance characteristics, or training methodologies of the Hosted Service;
(e) Using automated tools to systematically access or analyse the Hosted Service beyond normal user interaction patterns;
(f) Benchmarking the Hosted Service against competing products without prior written consent.

Any use of the Hosted Service for external commercial purposes requires a separate, written commercial agreement with JENTIC TECHNOLOGY LIMITED.

5. Intellectual Property & Content

5.1. Our Intellectual Property in the Hosted Service

You acknowledge and agree that, as between you and Jentic, we own all right, title, and interest in and to the Hosted Service, including all proprietary components, configurations, optimisations, infrastructure, and enhancements ("Proprietary Elements"), and all associated intellectual property rights (collectively, the "Jentic Materials"). All rights not expressly granted to you are reserved by us. You shall not, nor permit others to, use the Hosted Service to attempt to extract, reverse-engineer, or discover the underlying components of our models, algorithms, or systems.

5.2. The Open Source Software

The Jentic software is licensed to the public under the terms of the Apache License 2.0. These Terms of Service do not limit your rights under the Apache License 2.0 to use, copy, modify, or distribute the Jentic software on your own infrastructure.

5.3. The Public Knowledge Layer

Jentic maintains a public repository of API specifications, documentation, and related data files intended to serve as a communal resource (the “Public Knowledge Layer”).

(a) Licence: The content within the Public Knowledge Layer is dedicated to the public domain under the Creative Commons Zero v1.0 Universal licence.

(b) Contributions: By submitting any content to the Public Knowledge Layer, you agree to release your contribution under the same Creative Commons Zero v1.0 Universal licence, thereby waiving all your copyrights and related rights in the contribution to the fullest extent permitted by law. You represent and warrant that you have all necessary rights to make this public domain dedication and that your contribution does not infringe on the rights of any third party.

(c) Disclaimer: The Public Knowledge Layer is a community-driven resource and is provided "AS IS", without warranty of any kind. We are not responsible for the accuracy, completeness, or reliability of any content contributed by the community.

5.4. Your Content on the Hosted Service

You may provide input to the Hosted Service ("Input") and receive output from the Hosted Service ("Output"). As between you and Jentic, you retain all ownership rights in your Input. Subject to your compliance with this Agreement, we grant you a worldwide, non-exclusive, royalty-free, perpetual licence to use, reproduce, and create derivative works of the Output for any purpose, including commercial purposes.

5.5. Our Right to Use Your Content for Service Improvement

As a condition of your access to the free-tier Hosted Service, you grant JENTIC TECHNOLOGY LIMITED a worldwide, non-exclusive, royalty-free, perpetual licence to use your Input and Output (collectively, "Content") to operate, maintain, provide, and improve the Hosted Service. This right includes, but is not limited to, using Content for the following purposes:

(a) Analysing platform usage patterns and interaction data;
(b) Identifying and developing new agentic workflows for general platform inclusion;
(c) Developing and training our custom models for business logic planning and optimisation;
(d) Analysing agent activity traces and execution logs (with personally identifiable information removed);
(e) Compiling error logs, performance metrics, and system diagnostics.

5.6. Third-Party Model Terms

Your rights to any Output generated on the Hosted Service are subject to the terms of our Third-Party Model providers. Your rights are no greater than the rights Jentic receives from these providers.

5.7. Important Caveat on AI Output

You acknowledge that AI-generated Output may not be unique and that other users may receive similar or identical responses. Your rights in any Output are subject to the intellectual property terms and usage restrictions of our third-party model providers. Jentic does not warrant or guarantee that you will be able to claim copyright or other intellectual property rights in the Output, nor that it will be free from claims of infringement.

6. User Obligations & Responsibilities

6.1. Acceptable Use

Your use of the Hosted Service is strictly conditional on your adherence to our Acceptable Use Policy, which is incorporated by reference into this Agreement. You agree that you will not use, or allow others to use, the Hosted Service in violation of the Acceptable Use Policy.

6.2. Responsibility for Credentials

Certain features of the Hosted Service may require you to provide credentials, such as API keys, for third-party services ("Third-Party Credentials"). You are solely responsible for lawfully obtaining and securing these credentials. You provide them to the Hosted Service at your own risk. JENTIC TECHNOLOGY LIMITED will not be liable for any loss, damage, or unauthorised actions resulting from the use or compromise of any Third-Party Credentials you provide.

6.3. Responsibility for Output

You are solely responsible for all Input you provide and all Output you receive. You must review and validate all Output for accuracy, suitability, and compliance with applicable law and third-party rights before any use or reliance.

6.4. Compliance with Third-Party Policies

Your use of the Hosted Service is contingent on your compliance with the terms and acceptable use policies of our underlying Third-Party Model providers. A violation of their terms constitutes a violation of these Terms and may result in the immediate suspension or termination of your account.

6.5. Regulatory Compliance and Service Modifications

You acknowledge that artificial intelligence and automated decision-making technologies are subject to rapidly evolving legal and regulatory frameworks worldwide, including but not limited to the EU AI Act, algorithmic accountability laws, and data protection regulations. Jentic reserves the right to:

(a) Modify, restrict, or discontinue any feature or capability of the Hosted Service to ensure compliance with applicable laws and regulations;
(b) Implement additional safety measures, content filters, or usage restrictions as required by regulatory authorities;
(c) Terminate or suspend accounts that violate emerging AI governance requirements;
(d) Update this Agreement to reflect new legal obligations, with prior notice when circumstances permit.

6.6. EU AI Act Compliance

The Hosted Service operates in compliance with the European Union Artificial Intelligence Act (Regulation EU 2024/1689) ("EU AI Act"). You acknowledge and agree that:

User Responsibility for AI Act Compliance: You are solely responsible for ensuring your use of AI agents through the Hosted Service complies with all applicable EU AI Act requirements.
Prohibited Uses: You may not use the Hosted Service to create AI systems for social scoring, mass surveillance, or other uses prohibited under EU AI Act Article 5.
Platform Provider Role: Jentic operates as a platform provider but does not assume responsibility for your downstream AI Act compliance obligations.
Service Modifications: Jentic reserves the right to modify features to maintain our own EU AI Act compliance.

7. Fees & Future Commercial Offerings

7.1. Current Service Offering

The Hosted Service is currently provided to you free of charge.

7.2. Future Commercial Offerings

We reserve the right to introduce fees for the use of certain features of the Hosted Service, or to offer paid subscription plans, at our sole discretion. Should we choose to do so, we will provide you with advance notice of any applicable fees and payment terms.

7.3. Fair Use and Resource Limits

The free tier of the Hosted Service is provided subject to fair use. We reserve the right, at our sole discretion, to monitor usage and to implement rate limits, throttles, or suspend any account that exhibits excessive, abusive, or automated usage patterns that threaten the stability, availability, or performance of the Hosted Service for other users.

8. Termination

8.1. Termination by You

You are free to stop using the Hosted Service and terminate this Agreement at any time by closing your account.

8.2. Termination and Suspension by Us

We may, at our sole discretion, suspend or terminate your access to the Hosted Service and this Agreement immediately and without prior notice if we determine that:

(a) You have breached any provision of this Agreement, including the Acceptable Use Policy;
(b) We are required to do so to comply with applicable law;
(c) Your use of the Hosted Service could cause risk, harm, or legal liability to Jentic, our users, or any third party; or
(d) Your account has been inactive for an extended period.

9. Limitation of Liability

9.1. DISCLAIMER OF INDIRECT DAMAGES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JENTIC TECHNOLOGY LIMITED OR ITS AFFILIATES AND LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE HOSTED SERVICE.

9.2. LIABILITY CAP

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF JENTIC TECHNOLOGY LIMITED AND OUR AFFILIATES AND LICENSORS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE HOSTED SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO US FOR THE HOSTED SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

AI-SPECIFIC LIABILITY EXCLUSIONS:
NOTWITHSTANDING ANYTHING ELSE IN THIS AGREEMENT, JENTIC SHALL HAVE NO LIABILITY WHATSOEVER FOR:

(a) Any decisions, actions, or omissions made in reliance on AI-generated outputs;
(b) Any discriminatory, biased, or offensive content generated by AI systems;
(c) Any professional, financial, medical, or legal consequences arising from AI-generated advice or recommendations;
(d) Any failures or interruptions in third-party AI model services integrated with our platform;
(e) Any regulatory penalties or compliance costs incurred due to your use of AI agents.

9.3. Exceptions to Limitations

Nothing in this Agreement is intended to exclude or limit any liability that cannot be excluded or limited by applicable law. This includes, without limitation, liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless JENTIC TECHNOLOGY LIMITED and our affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

(a) Your access to or use of the Hosted Service;
(b) Your breach of this Agreement;
(c) Your violation of any applicable law or regulation, including data protection, AI governance, or industry-specific regulations;
(d) Any Input you provide, or Output you generate or use, including any claim that your Content infringes the rights of any third party;
(e) Any action taken by an AI agent or workflow created or initiated by you through the Hosted Service;
(f) Any content you contribute to the Public Knowledge Layer, including any claim that your contribution infringes the rights of any third party;
(g) Third-party claims arising from AI-generated content, decisions, or recommendations produced through your use of the Service;
(h) Any discriminatory, biased, or harmful outputs generated by AI agents under your control;
(i) Regulatory violations or compliance failures resulting from your AI agent configurations or usage patterns;
(j) Any professional, financial, medical, or legal decisions made based on AI-generated outputs from the Service; and
(k) Any use of the Service in regulated industries or for professional services without appropriate human oversight and validation.

11. Governing Law and Dispute Resolution

This Agreement and any dispute arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Ireland.

You irrevocably agree that the courts of Dublin, Ireland shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement.

12. Miscellaneous

12.1. Entire Agreement

This Agreement (which includes these Terms, the Acceptable Use Policy, and the Privacy Policy) constitutes the entire agreement between you and JENTIC TECHNOLOGY LIMITED and supersedes all prior agreements and understandings, whether written or oral, concerning its subject matter.

12.2. Assignment

You may not assign or transfer any of your rights or obligations under this Agreement without our prior written consent. We may assign or transfer our rights and obligations under this Agreement without restriction, for example, in connection with a merger, acquisition, or sale of all or substantially all of our assets.

12.3. Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of this Agreement will remain in full force and effect.

12.4. Waiver

Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights. A waiver of any right or provision will be effective only if in writing and signed by a duly authorised representative of JENTIC TECHNOLOGY LIMITED.

12.5. Force Majeure and Regulatory Compliance

Jentic shall not be liable for service interruptions or modifications required by:

(a) Changes in AI regulations or enforcement interpretations;
(b) Third-party AI model provider policy changes or service interruptions;
(c) Government actions restricting AI technologies or international transfers;
(d) Cybersecurity incidents affecting AI infrastructure.

Such events suspend Jentic's performance obligations without breach. If any such event continues for more than 60 days, either party may terminate the Agreement.
